1. Introduction
Welcome to Ezyy!
These Terms and Conditions (“Terms”) govern your use of Ezyy, a SaaS platform providing eCommerce, CRM, inventory management, and other business solutions (“Services”). By registering for and using Ezyy, you agree to be bound by these Terms. If you do not agree, do not use our Services.
Account Registration and Responsibilities
To access and use Ezyy, you must create an account (“Account”). You must provide accurate and complete information, including your full legal name, business address, phone number, and a valid email address.
- You must be at least 18 years old or the legal age of majority in your jurisdiction.
- You agree that you are using Ezyy for business purposes and not for personal, household, or family use.
- Your registered email address will be the primary method of communication with Ezyy. You must ensure it is active and capable of sending and receiving messages.
- You are responsible for keeping your password secure. Ezyy is not liable for any loss resulting from unauthorized access due to failure to maintain security.
Use of Services
You agree to use Ezyy in compliance with all applicable laws and regulations. You further agree that you will not:
- Reproduce, duplicate, copy, sell, or resell any part of the Services without written permission from Ezyy.
- Circumvent, bypass, or otherwise interfere with any technical limitations of the Services.
- Access the Services using automated means such as robots, scrapers, or spiders.
- Use Ezyy for any illegal or unauthorized purpose.
- Upload or distribute any malicious code, viruses, or harmful data.
Service Availability and Modifications
Ezyy reserves the right to modify, suspend, or discontinue any part of the Services at any time. We are not liable for any disruption or loss due to service changes.
Data and Security
Your content, including trademarks, product descriptions, and media (“Materials”), may be transmitted unencrypted over various networks. You retain ownership of your Materials but grant Ezyy a license to use them for providing Services. You are responsible for ensuring the security and integrity of your Materials.
Fees and Payment
Some features of Ezyy may require payment. By subscribing to a paid plan, you agree to the applicable pricing and billing terms. Fees are non-refundable unless otherwise stated. Failure to pay may result in suspension or termination of your Account.
Termination
Ezyy reserves the right to suspend or terminate your Account if you violate these Terms. Upon termination, you must cease using the Services immediately.
Limitation of Liability
Ezyy is provided “as is” without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages resulting from your use of the Services.
Governing Law
These Terms are governed by the laws of the jurisdiction in which Ezyy operates. Any disputes will be resolved in the applicable courts of that jurisdiction.
Changes to Terms
Ezyy reserves the right to update these Terms at any time. Continued use of the Services after changes constitute acceptance of the revised Terms.

2. Account Activation
2.1 Store Owner
The person signing up for the Service by opening an Account will be the contracting party (“Store Owner”) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding Account we may provide to the Store Owner in connection with the Service. You are responsible for ensuring that the name of the Store Owner (including the legal name of the company that owns the Store, if applicable) is clearly visible on the Store’s website. If you are signing up for the Services on behalf of your employer, your employer will be the Store Owner. If you are signing up for the Services on behalf of your employer, then you must use your employer-issued email address and you represent and warrant that you have the authority to bind your employer to our Terms of Service. Your Ezyy Store can only be associated with one Store Owner. A Store Owner may have multiple Ezyy Stores. You agree to use Ezyy Payment for your store. “Store” means the online store (whether hosted by Ezyy or on a third-party website), or any storefront built on top of the Ezyy API, or physical retail location(s) associated with the Account.
2.2 Staff Accounts
Based on your Ezyy pricing plan, you can create one or more staff accounts (“Staff Accounts”) allowing other people to access the Account. Each Staff Account must include a full legal name and a valid email account. With Staff Accounts, the Store Owner can set permissions and let other people work in their Account while determining the level of access by Staff Accounts to specific business information (for example, you can limit Staff Account access to sales information on the Reports page or prevent Staff Accounts from changing general store settings). The Store Owner is responsible for:
- (a) ensuring its employees, agents, and subcontractors, including via Staff Accounts, comply with these Terms of Service; and
- (b) any breach of these Terms of Service by the Store Owner’s employees, agents, or subcontractors.
The Store Owner acknowledges and agrees that the Store Owner will be responsible for the performance of all of its obligations under the Agreement, regardless of whether it sublicenses or subcontracts any such obligations to any third party, including but not limited to any affiliates or subsidiaries of the Store Owner. The Store Owner and the users under Staff Accounts are each referred to as an “Ezyy User”.
2.3 Ezyy Payments & Third-Party Payments
Ezyy is free to use if you subscribe to Ezyy Payments. Ezyy payment fees are 6.9% + $0.30 on all transactions. This does not include foreign transactions, disputes, reversals, or any third-party fees not covered by Ezyy. For a full list of fees, please visit https://ezyy.ca/ezyy-payment/fees.
If you decline a subscription to Ezyy Payment, then you must purchase a monthly plan. Visit your Ezyy Account for more details.
Ezyy Payment can also collaborate for faster checkouts with third-party payments such as:
- Apple Pay
- Google Pay
- Meta Pay
- Amazon Pay
- Stripe Pay
- Clover Pay

2.4 Domain Names
When purchasing a domain name through Ezyy, the domain registration will automatically renew as long as your Ezyy Account remains active. It is your sole responsibility to deactivate the auto-renewal function if you choose not to continue with the renewal.
Domains purchased through Ezyy are rented on a monthly or yearly basis. The ownership of a rented domain belongs to Ezyy for the duration of the rental period. The rental fee varies based on the market and the specific domain name.
Ezyy users have the option to request to purchase a domain and become the official owner of it. After purchasing, the domain can be transferred to any provider of the user’s choice. The domain purchase fee will be determined at the time of the request.
All fees associated with the domain transfer are the responsibility of the client. Ezyy is not liable for any technical issues that may arise during the transfer to a third-party provider.
Clients can link an existing domain to their Ezyy Store after paying a non-refundable initial fee of $69.00.
Please note that linking a custom domain may take up to 24-48 hours for DNS propagation to complete.
3. Ezyy’s Rights
Ezyy offers various features and services, but availability may vary depending on factors such as location or account type. We reserve the right to modify or discontinue any part of our Services at any time, without prior notice, unless restricted by law or these Terms. While we do not actively monitor or pre-screen content uploaded to our platform, we retain the right to remove or restrict any material that we determine, at our discretion, violates our Acceptable Use Policy (AUP) or these Terms of Service.
Any form of abusive behavior whether verbal or written toward Ezyy employees, representatives, or affiliates will result in immediate account termination. Ezyy may provide its Services to multiple businesses, including those that may compete with you. We do not offer exclusivity and acknowledge that Ezyy employees or contractors may also operate businesses using our platform. However, they are prohibited from accessing or misusing your confidential information. If there is a dispute over account ownership, we may request supporting documents to verify rightful ownership. This may include, but is not limited to, a business license, government issued ID, or details of the payment method associated with the account. Ezyy reserves the right to determine account ownership at its sole discretion. If ownership cannot be reasonably established, we may suspend or restrict access to the account until the involved parties reach a resolution.
4. Your Responsibilities
You are fully responsible for managing your Ezyy Store, the products or services you offer, and your relationships with customers. Ezyy does not assume any responsibility for these aspects. If you access and use the Ezyy API, your use is subject to our API Terms. By using our Services, you agree to provide clear public contact information, a refund policy, and estimated order fulfillment timelines on your Ezyy Store. You acknowledge that Ezyy is not a marketplace, meaning that any sales contract made through our platform is solely between you and your customer. As the seller of record, you bear full responsibility for all aspects of your business operations, including setting prices, processing orders, managing refunds and returns, handling customer service, and ensuring compliance with relevant legal and regulatory requirements. You warrant that your store, content, and the products or services you sell are accurate, lawful, and do not infringe on any third-party rights. Ezyy does not act as the seller or merchant of record and holds no liability for any transactions made through the platform.
Furthermore, you must ensure that all products or services listed on your store, including descriptions, pricing, taxes, and promotions, comply with applicable laws and regulations. Your use of Ezyy Services must not involve any illegal, unauthorized, or prohibited activities.
You are responsible for complying with all applicable laws, whether in your jurisdiction, your customer’s jurisdiction, or any other relevant legal framework. This includes securing any necessary licenses or permits required to operate your business.
If you access the Ezyy API, you are responsible for all activity associated with your API credentials and must ensure they remain secure. For any online sales, you agree to use Ezyy Payment, our secure payment system that processes customer shipping details and payment information. This includes all transactions processed through the Ezyy Payment API.
5. Payment of Fees and Taxes
You agree to pay the fees associated with your subscription to Ezyy Online Services and/or Ezyy POS Services (“Subscription Fees”) as well as any other applicable charges, including but not limited to:
- Fees on sales made through your store when using payment providers other than Ezyy Payment (“Transaction Fees”).
- Additional charges for any purchased or used services, such as Ezyy Payment, POS equipment, shipping, apps, themes, domain names, or third-party services (“Additional Fees”).
Together, these are referred to as Fees.
You must keep a valid payment method on file to cover all incurred and recurring fees. Ezyy will charge fees to any Authorized Payment Method you provide, and will continue to do so until the Services are terminated and all outstanding fees are paid. Unless otherwise specified, all fees are in Canadian dollars (CAD), and all payments will be processed in CAD currency. Subscription Fees are billed in advance every 30 days (“Billing Date”). Transaction Fees and Additional Fees may be charged at Ezyy’s discretion and will appear on an invoice, which will be sent to the Store Owner’s Primary Email Address and displayed in the Store’s administrative console. Users have approximately two weeks to dispute any billing issues related to Subscription Fees.
If we are unable to process payment of fees using an Authorized Payment Method, we may attempt to charge another authorized payment method on file. If payment remains unsuccessful for 28 days, we may suspend or revoke access to your Ezyy Account and Services. Your account will be reactivated once the outstanding fees and the next billing cycle’s fees are paid. However, your store may remain inaccessible during suspension. If fees remain unpaid for 60 days, Ezyy reserves the right to terminate your account. All fees are exclusive of any federal, provincial, or local taxes (“Taxes”). You are responsible for all applicable taxes related to your store and your use of Ezyy Services. If taxes apply, they will be charged based on your billing address. If you are tax-exempt, you must provide valid documentation, and tax exemption will only apply from the date we receive satisfactory proof of exemption. If Ezyy does not collect taxes on your behalf, you are responsible forn determining, reporting, and emitting taxes to your jurisdiction’s tax authorities.
For clarity, all fees you owe to Ezyy must be paid in full, without deductions or withholdings. Other than taxes collected by Ezyy and remitted on your behalf, any tax related obligations are your sole responsibility. You are responsible for determining, collecting, reporting, and remitting applicable taxes, duties, fees, and other charges resulting from any sale on your Ezyy Store. Our Services are not a marketplace, and all contracts of sale are directly between you and your customers. Your store location must be kept accurate and up to date in your Ezyy Store’s administrative console. If you move to a different jurisdiction, you must update your location promptly. Ezyy Payment Fees are 6.9% + 0.30 CAD on all transactions. This does not include foreign transactions, disputes, reversals, or any third-party fees not covered by Ezyy.

Unless stated otherwise, Ezyy does not provide refunds.
6. Confidentiality
“Confidential Information” refers to any non-public information related to a party’s business, including but not limited to proprietary business details, technical processes, software, customer lists, potential client information, contact details, product designs, sales data, cost structures (including processing fees), pricing, financial reports, business strategies, and marketing insights. Additionally, any private or sensitive data shared under these Terms of Service will be considered confidential, whether explicitly labeled as such or not.
Ezyy’s confidential information includes any non-public details concerning our company or services, particularly security measures and operational procedures. Both parties agree to handle the other’s Confidential Information with care, using it only as required to fulfill obligations under these Terms of Service. Each party must take reasonable measures—at least equivalent to the ones used to protect their own sensitive information—to prevent unauthorized duplication, disclosure, or use of Confidential Information.
Confidential Information may only be shared with employees, agents, or subcontractors who need access to perform their responsibilities and who are bound by confidentiality obligations similar to those in this agreement. Disclosure is permitted only when legally required by law, regulation, or court order. If legally allowed, the receiving party must notify the disclosing party in writing and take reasonable steps to maintain confidentiality.
However, information will not be considered confidential if the receiving party can demonstrate that:
- It was already publicly available or known before disclosure.
- It was independently developed without using or referring to the other party’s Confidential Information.
- It was obtained from a third party with the legal right to disclose it, without violating any
agreements.
7. Limitation of Liability and Indemnification
To the fullest extent permitted by law, Ezyy and its suppliers shall not be held responsible for
any direct, indirect, incidental, special, or consequential damages. This includes, but is not
limited to, financial losses, loss of reputation, data loss, or any other non-material damages
that may arise from using or being unable to use our services, regardless of the cause,
including negligence.
By agreeing to these Terms of Service, you commit to indemnifying and protecting Ezyy, along
with our affiliates, subsidiaries, officers, directors, employees, agents, and suppliers, from any
third-party claims, liabilities, or legal fees that result from:
- (a) Your violation of these Terms of Service or any related agreements (including the Acceptable Use Policy)
- (b) Any breach of law or infringement of third-party rights.
- (c) Any disputes between you and your customers, including but not limited to refunds, fraudulent transactions, and compliance with consumer protection laws.
If your affiliates, agents, or subcontractors violate these Terms, you will be held fully
responsible as if you had breached them yourself.
You acknowledge that you are using Ezyy’s services at your own risk. Our services are provided “as is” and “as available,” without any express, implied, or statutory warranties.
Ezyy does not guarantee that:
- The services will be uninterrupted, secure, or error-free.
- The results obtained from using the services will be accurate or reliable.
- We will be responsible for any tax obligations arising from your use of our services.
- The quality of any products, services, or information obtained through our platform will meet your expectations, nor do we guarantee that any errors will be corrected.
8. Intellectual Property and Your Materials
8.1 Your Materials
While we do not claim ownership of the content, files, or data you provide (“Your Materials”), you grant us a license to use them. You provide Ezyy with a non-exclusive, transferable, sub licensable, royalty-free, worldwide license to store, modify, distribute, display, reproduce, perform, broadcast, translate, and create derivative works based on Your Materials as necessary to operate, improve, and promote our services. This license allows us to fulfill our obligations and exercise our rights under these Terms of Service.
By submitting Your Materials, you confirm that you have the legal rights to do so and that you are authorized to grant this license. You also waive any moral rights you may have in Your Materials in favor of Ezyy and any parties we transfer or sublicense these rights to. Ownership of Your Materials remains with you, even after uploading them to our platform. However, any rights or licenses granted to Ezyy under these Terms will continue as needed to fulfill obligations that arose during your use of our services. If you delete your account, Your Materials will no longer be associated with your store, but Ezyy may retain rights necessary to enforce agreements made during your use of the platform. Ezyy reserves the right to review or remove any content you submit, though we are not
obligated to do so.
Additionally, you grant Ezyy a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use your store’s trademarks, logos, and branding (“Your Trademarks”) for the purpose of operating, providing, and marketing the services. This license remains valid even after account termination, but only to the extent necessary to fulfill obligations from your time using our services.
8.2 Ezyy Intellectual Property
You may not use any trademarks, logos, or branding associated with Ezyy without written permission. This includes, but is not limited to, the “Ezyy” name, logo, or any similar variations that could cause confusion. Furthermore, you agree not to register, purchase, or use any domain names, social media handles, search engine ads (such as Google Ads), or any other digital assets that include “Ezyy” or any variations that could be misleadingly similar. Finally, these Terms of Service do not grant you any rights to use, implement, or claim ownership over any patents, trademarks, or other intellectual property belonging to Ezyy.
9. Privacy and Data Protection
At Ezyy, we take the privacy of your personal information and that of your customers seriously. By using our services, you acknowledge and agree that any collection, use, or disclosure of personal data is governed by our Privacy Policy.
If Ezyy processes personal data on your behalf as a “data processor” or “service provider” under applicable privacy laws—such as the Quebec’s Law 25 know as the “Act to modernize legislative provisions as regards the protection of personal information”, the EU or UK General Data Protection Regulation (GDPR) or the California Consumer Privacy Act (CCPA)—our handling of this data is further outlined in our Data Processing Addendum found here : https://ezyy.ca/data-compliance-privacy
10. Term and Cancellation
We reserve the right to terminate your account at any time. The agreement outlined in these Terms of Service begins when you complete your registration and continues until either you or Ezyy decides to terminate it (the “Term”). You can close your account and end this agreement at any time by reaching out to our support team and following the instructions provided in our response. We may also suspend or terminate your account, with or without notice, for any reason, including but not limited to suspected fraudulent activity. This applies whether the suspicion arises from legal action, settlements, insurance claims, or escrow investigations. Termination does not affect any rights or obligations that existed before the termination date.
Upon termination:
- Ezyy will stop providing access to the Services, and your account will be deactivated.
- You will not receive a refund for any fees paid unless explicitly stated otherwise.
- Any outstanding balance for Services used before termination will become due immediately.
- Your online store will be taken offline.
If you purchased a domain through Ezyy, automatic renewal will be disabled upon cancellation, and you will be responsible for requesting a domain transfer, if you wish, or if you already own the domain, you will be responsible in managing the domain with your provider (refer to section 2.4 Domain Names of the Terms & Conditions).
If there are any unpaid fees at the time of termination, a final payment attempt will be made, and you will be notified via email. Once the payment is received, no further charges will apply.
We will attempt to charge the credit card on file for any outstanding fees. If three consecutive payment attempts fail, an invoice will be issued. If no payment is received within 30 days, the account will be sent to collections.
11. Modifications
We reserve the right to modify or update any part of these Terms of Service at our sole discretion. If any changes materially impact your use of the Services or your rights under these terms, we will provide reasonable advance notice. This may be done through email to your primary contact address, notifications within the Ezyy administrative console, or similar communication methods.
However, in certain circumstances, changes may take effect immediately without prior notice. This includes modifications necessary for compliance with legal or regulatory requirements, fraud prevention, security concerns, or restrictions on products or activities we consider unsafe, inappropriate, or offensive. Unless otherwise stated, updates to the Terms of Service take effect immediately upon being posted. By continuing to use the Services after receiving notice or after updates have been published, you agree to the revised Terms of Service. If you do not accept these changes, you must discontinue your use of the Services. By continuing to use the Services, you automatically accept these changes.
We may also adjust our service fees periodically. In such cases, we will provide at least 30 days’ notice via email, the Ezyy administrative console, or a similar method. We are not responsible for any losses or liabilities resulting from modifications, price changes, service suspensions, or discontinuations.
12. General Conditions
These Terms of Service, along with any referenced documents, represent the entire agreement between you and Ezyy regarding your use of the Services and your Account. They replace any prior agreements, including any previous versions of the Terms of Service.
Failure by Ezyy to enforce any provision of these Terms does not waive its right to enforce that provision later. If any section of these Terms is found to be unlawful or unenforceable by a court with proper jurisdiction, it will be modified to best fulfill its intended purpose within legal limits. The remaining sections will continue to apply in full force.
Unless explicitly stated otherwise, no third party has the right to enforce any aspect of these Terms. However, this does not impact the rights of any permitted assignee or transferee of these Terms.
These Terms will be governed by and interpreted under the laws of the Province of Québec and applicable Canadian laws, without considering conflict-of-law principles. If these Terms are available in multiple languages and discrepancies arise, the latest French version at https://ezyy.ca/fr/terms-and-conditions/ will take precedence. Any disputes will be resolved in English unless Ezyy decides otherwise or applicable laws require a different approach.
All obligations and rights in these Terms apply to and benefit the parties involved, including their heirs, successors, and permitted assigns. Ezyy reserves the right to assign these Terms without prior notice or your consent. However, you may not transfer or assign any part of these Terms without Ezyy’s prior written approval, which is granted at Ezyy’s sole discretion.
If any portion of these Terms is deemed invalid, illegal, or unenforceable, the rest of the Terms will still apply as if the invalid section was never included.
Upon termination of the agreement, all associated rights and obligations cease, except for the following:
- You remain responsible for any transactions or liabilities that arose before termination.
- Specific provisions will continue to apply even after termination, including:
- Section 1 (Account Activation)
- Section 5 (Payment of Fees and Taxes)
- Section 6 (Confidentiality)
- Section 7 (Limitation of Liability and Indemnification)
- Section 8 (Intellectual Property and Your Materials)
- Section 9 (Privacy and Data Protection)
- Section 10 (Term and Cancellation)
- Section 11 (Modifications)
- Section 16 (General Conditions)
